INDICATES LANGUAGE ADDED TO BYLAWS

 

The Board of Directors of the Columbia Bridge Club propose the following changes to the By-Laws.  The changes will be voted on at the next Annual Meeting of the Club.  These proposed changes will take effect June 1, 2009.

 

1.         ARTICLE VI BOARD OF DIRECTORS. Section 1. Number of Directors.  Insert the following sentence immediately after the first sentence “All members of the Board of Directors will be members of the ACBL.”

 

EXPLANATION  Self-explanatory

 

2.         ARTICLE VI BOARD OF DIRECTORS. Section 2. Term of Office. Item (a). Delete from the first sentence “Secretary, Treasurer” and add a new “Item (b) The Secretary and Treasurer shall be elected for a term of two years.  A person may serve in these offices for more than one term but not more than two successive terms.”  Renumber remaining items.

 

EXPLANATION:  The duties of these two offices are extensive and the Board feels they should serve a two-year term to be effective in their duties.

 

3.         ARTICLE VII. OFFICERS. Section 2. Duties and  Powers of Officers, Secretary, Item (15).  Delete the words “one year” and add the words “two years”.

 

EXPLANATION:  See number 2. ARTICLE VI BOARD OF DIRECTORS. 

 

4.         ARTICLE VII. OFFICERS. Section 2. Duties and  Powers of Officers, Treasurer, Item (10).  Delete the words “one year” and add the words “two years”.

 

EXPLANATION:  See number 2. ARTICLE VI BOARD OF DIRECTORS. 

 

5.         ARTICLE VI BOARD OF DIRECTORS.  Section 3. Nomination and Election of Directors. Item (b).  Delete “The nominating committee shall select a slate of candidates to replace those going to expire” and insert in its place “If more than one person is eligible and desires to seek an office or position, the nominating committee may submit those names on a slate to replace those going to expire.

 

EXPLANATION  This further clarifies the capacity of the nominating committee and the Board feels that the membership should be able to vote for any person that is eligible and interested in serving in an office.

 

6.         ARTICLE VI. BOARD OF DIRECTORS. Section 9. Powers and Duties of the Board. Item (c). Add to the end of the sentence “and conduct an annual performance review of all paid positions.”.

 

EXPLANATION:  A performance review needs to be conducted of all those holding paid positions in the Club.

 


7.         ARTICLE VI. BOARD OF DIRECTORS. Section 9. Powers and Duties of the Board. Item (e). Delete the word “Auditing” and  replace it with “Audit”, delete the words “maintaining inventories” and replace it with “maintain an inventory” and add to the end of the sentence the word “annually”.

 

EXPLANATION  The Club should perform an audit of its financial reports as well as a physical inventory of all its assets annually.

 

8.         ARTICLE VII. OFFICERS. Section 2. Duties and  Powers of Officers, (a) President.  Add a new Item (7) “Appoint an audit committee to audit the financial reports annually.  Renumber all remaining items.

 

EXPLANATION.  A internal audit committee needs to be appointed to audit the club’s financial reports.

 

9          ARTICLE VII. OFFICERS. Section 2. Duties and  Powers of Officers, Vice-President, Add a new Item (3) “Acts as parliamentarian.  Renumber remaining items.

 

EXPLANATION:  The First Vice President acts as an advisor to the President and is potentially next in line for the presidency and should be familiar with parliamentary procedures..
